Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dev Sav service (the "Service"), provided by Dev Sav ("we," "us," or "our"). By signing up for our Service, you agree to be bound by these Terms.

1. The Service

The Service is a cloud management tool that scans your cloud infrastructure, identifies optimization opportunities (like unused servers), generates "Plans" for action, and (upon your approval) executes those Plans.

We offer three Service Modes:

1. Read-Only Pilot: A free trial mode where the Service is read-only. It will generate plans but cannot execute any changes.
2. Approve-Each: The standard mode where the Service generates a Plan which you must manually review and approve before any action is taken.
3. Auto-Commit: An optional mode where you grant the Service permission to execute Plans automatically, within strict limits (e.g., "on tagged resources" or "within a time window") that you define.

2. Free Trial & Fees

We offer a one-month, read-only free trial. After the trial, your paid subscription will begin, billed via our payment processor, Stripe. If payment fails, we reserve the right to pause your service until payment is complete. Fees are non-refundable.

3. Customer Duties & Responsibilities

You are the "Data Controller" for your cloud data; we are the "Data Processor." Your responsibilities are a critical component of our Service's safety.

• You agree to provide and maintain correct access roles and configurations.
• You are responsible for maintaining correct and accurate tags on your cloud resources. Our Service relies on these tags for its safety policies.
• For "Approve-Each" mode, you are solely responsible for reviewing and approving all Plans. Your approval constitutes a direct instruction for us to execute the actions listed in that Plan.
• You are responsible for your own cloud infrastructure and data.

4. Intellectual Property

We own all rights, title, and interest in the Service and our underlying software (the "IP"). You own all rights, title, and interest in your cloud data and your audit logs.

5. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES (INCLUDING LOST PROFITS), EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO US IN THE ONE (1) MONTH PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

This limitation does not apply where forbidden by law, such as in cases of gross negligence or willful misconduct.

6. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from (a) your mis-tagged resources, (b) your incorrect cloud configurations, or (c) any actions taken by our Service as a direct result of your approval of a Plan.

7. Governing Law

These Terms shall be governed by the laws of England and Wales, without regard to conflict of law principles. All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Changes to Terms

We may modify these Terms. We will notify you of any changes in advance. Your continued use of the Service after the changes take effect constitutes your acceptance.
